Budi AI - Terms and Conditions

These Terms and Conditions are entered into by and between you ("you," "your," or "User"/"Guest"/"Subscriber"/"Partner" as applicable) and Get Budi Inc. ("Company," "Budi," "we," "us"). The following Terms, together with any documents (our Privacy Policy incorporated herein by reference) (collectively, "Terms and Conditions" or "Terms"), govern your access to https://getbudi.com/ and the use of https://getbudi.com/ sub-domains, including any content, functionality, products, and services offered on or through https://getbudi.com/, our mobile optimized websites, our Chatbot (as defined hereunder) or our mobile application (together the "Website", "Site", or "Platform"), as a User, Guest, Subscriber, and/or Partner.

PLEASE READ THE TERMS AND CONDITIONS CAREFULLY BEFORE YOU START TO USE THE WEBSITE, (INCLUDING BUT NOT LIMITED TO THE CHATBOT), AND/OR SERVICES – THEY ARE IMPORTANT AND AFFECT YOUR LEGAL RIGHTS.

BY ACCESSING OR USING ANY CONTENT, INFORMATION, SERVICES, PRODUCTS, FEATURES, OR RESOURCES MADE AVAILABLE OR ENABLED THROUGH THE WEBSITE (INCLUDING BUT NOT LIMITED TO THE CHATBOT), OR THE SERVICES, YOU REPRESENT, WARRANT, AND AGREE THAT:

(1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS,

(2) ARE AT LEAST 21 YEARS OF AGE (OR THE AGE OF MAJORITY IN YOUR JURISDICTION, WHICHEVER IS GREATER) AND HAVE THE LEGAL CAPACITY TO FORM A BINDING CONTRACT WITH THE COMPANY;

(3) YOU ARE LAWFULLY ELIGIBLE TO ACCESS, VIEW, OR PURCHASE CANNABIS PRODUCTS AND SERVICES FROM A HOST (AS DEFINED HEREUNDER) IN THE JURISDICTION WHERE YOU ARE LOCATED (INCLUDING ANY APPLICABLE MEDICAL OR ADULT-USE REQUIREMENTS); AND

(4) YOU HAVE THE AUTHORITY TO ENTER INTO THE TERMS AND CONDITIONS PERSONALLY OR ON BEHALF OF COMPANY YOU HAVE NAMED AS THE USER, AND TO BIND THAT COMPANY TO THESE TERMS.

THE TERM "YOU" REFERS TO THE INDIVIDUAL OR LEGAL ENTITY (AS APPLICABLE) IDENTIFIED AS THE USER OF THE WEBSITE AND/OR SERVICES, WHETHER AS A GUEST, SUBSCRIBER, PARTNER, OR OTHERWISE. YOU ACCEPT AND AGREE TO BE BOUND AND ABIDE BY THESE TERMS AND CONDITIONS AND OUR PRIVACY POLICY (INCORPORATED HEREIN BY REFERENCE). IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS OR THE PRIVACY POLICY, YOU MUST NOT ACCESS OR USE THE WEBSITE.

The Company provides a software-as-a-service platform featuring an AI-powered chatbot called Budi (the "Chatbot"), designed to be embedded on and/or integrated with the webpages of third-party cannabis dispensaries or similar hosts ("Host(s)"). The Chatbot may also be accessed via our Website. The Chatbot assists consumers/Users by enabling product searches, filtering information, providing guidance on product and service selection, delivering personalized recommendations based on proprietary algorithms and user inputs, and displaying marketing materials related to the Host's offerings (collectively, the "Service(s)"). Users who access or interact with the Chatbot or the Website ("User(s)") include: (i) casual visitors or consumers engaging with the Website or the Chatbot on a Host's site ("Guest(s)"); (ii) Hosts or other parties that pay a subscription fee to access certain platform features ("Subscriber(s)"); and (iii) Hosts or other parties that integrate the Chatbot under a formal agreement, pay commissions on sales generated through it ("Commission(s)") as specified in the respective License Agreement, or are in a trial period ("Partner(s)"). Subscribers and Partners may integrate the Chatbot into their platforms and compensate the Company via Commissions or paid subscriptions, as applicable.

The terms "Guests", "Subscribers," "Partners," and "Users" describe different activities that a single individual or entity may engage in while interacting with the Services and do not refer to mutually exclusive or distinct categories of users.

FOR AVOIDANCE OF DOUBT, THE WEBSITE AND/OR SERVICES ARE PROVIDED SOLELY FOR PRODUCT DISCOVERY, INFORMATION, AND MARKETING PURPOSES. THE COMPANY DOES NOT ENGAGE IN PAYMENT PROCESSING, INVENTORY OWNERSHIP, ORDER FULFILLMENT, DELIVERY, OR ANY FACILITATION OF CANNABIS SALES TRANSACTIONS BEYOND PROVIDING INFORMATION AND RECOMMENDATIONS. NO PART OF THE SERVICES CONSTITUTES A SALE, OFFER TO SELL, OR FACILITATION OF THE PURCHASE OF CANNABIS PRODUCTS. ANY PURCHASE DECISIONS OR TRANSACTIONS OCCUR SOLELY BETWEEN THE USER AND THE HOST, AND USERS ARE RESPONSIBLE FOR COMPLYING WITH ALL APPLICABLE LAWS.

For Partners, the Company will reach out to execute a respective License Agreement ("License"), which will further govern the relationship between you and the Company in addition to these Terms, including details on Chatbot integration, Commission payments (where applicable), trial periods (if ongoing), and any other mutually agreed provisions ("Additional Terms"). Upon execution of the License Agreement, the Company will grant you access to the Platform (including the Chatbot) and/or Services and complete onboarding accordingly.

The Website provides limited functionality to Users who access it without registering an account. However, to access certain features or Services on the Website, or to use the Website's admin portal, you must become a Registered User by creating an account through the Company's onboarding process ("Account").

When creating an Account, you may be required to provide certain information relevant to your Account or any purchases, including without limitation your name, email address, credit card number, credit card expiration date, and billing address. You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) submitted in connection with any Account or purchase; and (ii) all information you provide is true, accurate, current, and complete. We may use third-party services to facilitate payments and process purchases. By submitting your information, you authorize us to share it with such third parties solely as necessary for these purposes, subject to our Privacy Policy.

Partners (as defined earlier) require additional steps beyond standard Account creation: following initial onboarding, the Company will reach out to execute a License Agreement, which supplements these Terms and governs integration, Commission payments (where applicable), trial periods (if ongoing), access to the Platform and/or Services, and other mutually agreed provisions. Only upon execution of the License Agreement will full Partner access (including the admin portal) be granted and onboarding completed.

In the event that an Account is associated with more than one individual, the Account shall be deemed controlled exclusively by the person whose email address is designated as the primary email address associated with the Account. In cases where payment information is also associated with the Account, the individual identified as the payee shall be deemed the controlling party. Only the controlling individual shall have the authority to effect material changes to the Account, including but not limited to updating the primary email address, modifying or updating payment information, or altering security settings (including, without limitation, two-factor authentication settings, if applicable). The controlling individual shall have sole and exclusive access to, and control over, all information associated with the Account, including without limitation any data collected, stored, or processed through the Platform. For further information regarding the collection, use, disclosure, and protection of such data, please refer to our Privacy Policy.

You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account, whether authorized or not. You agree to: (i) immediately notify us of any unauthorized use of your Account or any actual or suspected security breach; and (ii) log out of your Account at the end of each session. Unauthorized access or use may result in immediate suspension or termination of your Account and access to the Website and/or Services, and could lead to liability under applicable laws. You are fully accountable for any such activities.

Guests may access the Budi Chatbot when it is embedded on or integrated with a Host third-party cannabis dispensary's website. Through the Chatbot, Guests may submit questions, prompts, selections, or other inputs and receive responses generated by the AI-powered Chatbot, including the ability to search for products, filter inventory, obtain personalized recommendations based on user inputs and proprietary algorithms, view marketing materials, or receive general product and service guidance related to the Host's offerings. If a Guest selects Host items for purchase via the Chatbot, those selections may be transmitted to the Host's existing shopping cart/point-of-sale system ("POS"). All subsequent steps of any potential transaction, including checkout, payment processing, order fulfillment, age verification, regulatory compliance, delivery, and any other aspects, are handled exclusively by the Host and its POS system.

BUDI IS SOLELY A SOFTWARE-AS-A-SERVICE PLATFORM AND AI-POWERED CHATBOT SERVICE PROVIDER. THE COMPANY DOES NOT SELL, DISTRIBUTE, DELIVER, FULFILL, OR OTHERWISE PARTICIPATE IN ANY CANNABIS TRANSACTIONS. THE COMPANY IS NOT A CANNABIS RETAILER, DISPENSARY, OR LICENSED ENTITY UNDER APPLICABLE CANNABIS LAWS, AND ALL SALES, TRANSFERS, OR DELIVERIES OF CANNABIS PRODUCTS OCCUR SOLELY BETWEEN THE HOST (AS THE LICENSED DISPENSARY) AND THE GUEST (AS THE END CONSUMER).

Guests acknowledge and agree that:

(a) any product recommendations, information, or guidance provided by the Chatbot are for informational and convenience purposes only, are generated based on algorithms and data provided by the Host, and do not constitute professional advice, medical recommendations, or guarantees of product availability, suitability, safety, quality, or compliance with applicable laws;

(b) the Guest is solely responsible for verifying all information directly with the Host and for complying with all applicable federal, state, and local laws, including without limitation age restrictions and cannabis regulations; and

(c) the Company, its affiliates, officers, directors, employees, agents, and licensors disclaim all liability, and shall have no responsibility or obligation, for any transactions, product quality, pricing, availability, delivery issues, fulfillment delays, regulatory compliance failures, or any other disputes, claims, losses, or damages arising between the Guest and the Host or in connection with any Guest use of the Chatbot.

For avoidance of doubt, Guest use of the Chatbot remains subject in all respects to these Terms, including without limitation all prohibitions, representations, warranties, covenants, and limitations of liability set forth herein.

The Chatbot generates responses, recommendations, and other content using artificial intelligence ("Output"). Output is provided for informational and convenience purposes only, may be inaccurate or incomplete, and does not constitute medical, legal, or professional advice. You retain ownership of the questions, prompts, selections, and other content you submit ("Input"). You grant the Company a perpetual, worldwide, royalty-free license to use, reproduce, and create derivative works from Input for the purpose of operating, evaluating, and improving the Services, including training and fine-tuning artificial intelligence and machine learning models, in each case in accordance with our Privacy Policy and, where required by applicable law, on an anonymized or de-identified basis. Output may not be resold, redistributed, or used commercially without a separate written license from the Company.

As a condition of accessing or using the Website or any Services in any capacity, you agree that you will not use, disclose, reproduce, distribute, or share any information, content, data, conversations, user identities, Host inventory or pricing data, product details, or other non-public materials obtained through the Website or Services (collectively, "Observed Information") for any commercial, competitive, benchmarking, or unauthorized purpose without the Company's prior express written consent. You agree to maintain Observed Information in strict confidence, to take reasonable measures to protect the privacy and anonymity of other Users and Hosts, and not to engage in any activity that could compromise such privacy or anonymity. Except as expressly permitted in writing by the Company, as otherwise allowed under these Terms, or as required by applicable law, you shall not download, copy, reproduce, distribute, transmit, display, sell, rent, lease, perform, license, modify, create derivative works from, or link to any portion of the Services, Company Content, or Observed Information. Nothing in this Section restricts any disclosure required by law, regulation, subpoena, or lawful request of a governmental or regulatory authority.

When you use the Website and/or Services, we collect and process certain personally identifiable and other data about you. Our use of this information is governed by our Budi Privacy Policy, which is incorporated by reference herein. You are encouraged to read this policy as it contains important information on how we collect and use this information and your rights regarding the same. Additionally, the Website and/or Services utilize cookies and certain technology that tracks usage, performance and your geographic location which are more fully described in our Privacy Policy.

The Website and Services are provided solely for lawful product discovery, information, and marketing purposes. Use of the Website or Services to facilitate, arrange, or engage in any illegal cannabis transaction, unlicensed sale, or activity prohibited under applicable federal, state, or local law is strictly prohibited and will result in immediate termination of your access. You acknowledge that all cannabis purchases must occur through licensed dispensaries in jurisdictions where such purchases are lawful, and that the Company does not participate in or facilitate any such transactions.

You agree to use the Website and/or Services only for lawful purposes. You shall not, directly or indirectly:

Unlawful and Harmful Use:

• Use the Website and/or Services in any manner that violates any applicable federal, state, local, or international law or regulation

• Use the Website and/or Services for any fraudulent or criminal purpose

• Exploit, harm, or attempt to exploit or harm minors in any way

• Access or attempt to access the Website and/or Services if you are under 21 years of age

• Attempt to purchase any product that you are prohibited from purchasing under any applicable law

Content and Conduct:

• Submit or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, hateful, or objectionable

• Submit or transmit any content that infringes intellectual property or other rights

• Harass, stalk, abuse, threaten, or engage in intimidating conduct toward any User, Host, or Company personnel

• Impersonate the Company, its employees, or any other person or entity

• Submit unsolicited advertising, spam, or similar solicitations

• Collect or disclose personal information about any other User or Host without consent

Technical and Platform Integrity:

• Submit repetitive, automated, or high-volume inputs to degrade performance or extract underlying data

• Use any automated device to access the Website and/or Services

• Reverse engineer, decompile, or disassemble any aspect of the Website and/or Services

• Attempt to circumvent any content-filtering or access-control measures

• Introduce any virus or other harmful material

• Attack the Website via denial-of-service or similar attacks

We maintain and enforce a repeat infringer policy. We will terminate the Account of any Subscriber or Partner determined to be a repeat infringer.

"Budi," the Budi logo, and any other Budi product or service names, logos, designs or slogans that may appear on the Website are trademarks of Budi and may not be copied, imitated or used, in whole or in part, without our prior written permission. You may not use any metatags or other "hidden text" utilizing "Budi" or any other name, trademark or service name of Budi without our prior written permission. In addition, the look and feel of the Website and/or Company Content, including, without limitation, all page headers, custom graphics, button icons and scripts, constitute the service mark, trademark or trade dress of Budi and may not be copied, imitated or used, in whole or in part, without our prior written permission. All other trademarks, registered trademarks, product names and company names or logos mentioned on the Website are the property of their respective owners and may not be copied, imitated or used, in whole or in part, without the permission of the applicable trademark holder. Reference to any services, processes or other information by name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation by Budi.

The Company shall provide information about the available subscription ("Subscription") plans, pricing, and the benefits and Services included in such Subscription on the Platform and/or Services. We reserve the right to change pricing for a Subscription or any components of a Subscription in any manner and at any time. Any price change will take effect following reasonable notice to you of such change.

Your Subscription to the Platform and/or Services will be for the term duration selected during registration or purchase (each, a "Subscription Term"), which may be monthly, quarterly, bi-annual, annual, or as otherwise specified during the transaction. Unless you cancel or we terminate or suspend your Subscription in accordance with these Terms, your Subscription will automatically renew for successive Subscription Terms of the same duration at the then-current price (plus any applicable taxes and other charges).

You may cancel your Subscription at any time through the methods provided on the Website (such as your Account settings), contacting us via email to support@getbudi.com, or as otherwise directed by the Company. Cancellation takes effect at the end of the then-current Subscription Term.

No Refunds: All Subscription fees are non-refundable. Upon cancellation, you will not receive a refund or credit for any amounts paid for the current Subscription Term.

Free Trials: From time to time, we may offer free or promotional trials of certain Subscriptions. Unless you cancel before the end of the Free Trial period, your Subscription will automatically convert to a paid recurring Subscription at the then-current rate.

Notwithstanding anything to the contrary in these Terms, we reserve the right, in our sole discretion and without notice or liability to you or any third party, to suspend or terminate your access to or use of the Website, Services, your Account, or any portion thereof at any time and for any reason.

In the event of a material breach of these Terms by you, or if we are required to suspend or terminate by law, we may immediately suspend or terminate your Account without prior notice.

If we terminate or suspend your Account for violation of these Terms, you agree not to attempt to re-register without our prior express written consent.

You may terminate your Account at any time by contacting our customer support via email to support@getbudi.com. Upon termination, you will lose access to your Account and the Services.

Upon any termination or suspension, any active Subscription will immediately cease, all remaining periods will be forfeited, and no refunds or credits will be issued.

By accessing and using this Website, its Services, and products, you represent and warrant the following:

• You are voluntarily choosing to use the Website and Services and understand that cannabis products carry inherent risks

• You acknowledge and accept responsibility for all decisions and outcomes resulting from your use

• You will follow all applicable local, state, national, and international laws

• You will respect the rights of other Users and third parties

• You will abide by all guidelines, policies, and rules set forth in these Terms

• All information you provide is accurate, current, and complete

• You will not attempt to disrupt, interfere with, or tamper with the operation of the Website

Violation of any of the above may result in the suspension or termination of your access to the Website and/or Services.

YOUR USE OF THE WEBSITE, SERVICES, OR OUR SUBSCRIPTION OBTAINED THROUGH THE WEBSITE IS AT YOUR OWN RISK. THE WEBSITE, THE CONTENT THEREIN, AND ANY SERVICES OBTAINED THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE WEBSITE.

IF YOU RELY ON ANY DATA OR INFORMATION OBTAINED THROUGH OUR WEBSITE AND/OR SERVICES, YOU DO SO AT YOUR OWN RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE OR LOSS THAT RESULTS FROM YOUR USE OF SUCH DATA OR INFORMATION.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BUDI, ITS PAST, PRESENT AND FUTURE LICENSORS, EMPLOYEES, OFFICERS, DIRECTORS, CONTRACTORS, CONSULTANTS, EQUITY HOLDERS, SUPPLIERS, VENDORS, SERVICE PROVIDERS, PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, AGENTS, REPRESENTATIVES, PREDECESSORS, SUCCESSORS AND ASSIGNS (COLLECTIVELY "BUDI PARTIES") BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND.

UNDER NO CIRCUMSTANCES WILL THE TOTAL AGGREGATE AMOUNT THAT THE BUDI PARTIES ARE LIABLE TO YOU EXCEED THE LESSER OF (A) THE TOTAL AMOUNT ACTUALLY PAID TO BUDI BY YOU DURING THE SIX-MONTH PERIOD PRIOR TO THE ACT, OMISSION OR OCCURRENCE GIVING RISE TO SUCH LIABILITY, (B) THE REMEDY OR PENALTY IMPOSED BY THE STATUTE OR REGULATION UNDER WHICH SUCH CLAIM ARISES, OR (C) ONE HUNDRED DOLLARS ($100).

CONSULT YOUR DOCTOR BEFORE USING THE PLATFORM AND/OR SERVICES. YOU SHOULD CONSULT WITH YOUR DOCTOR BEFORE RELYING ON ANY INFORMATION PROVIDED BY THE WEBSITE AND/OR THE SERVICES. THE SERVICES AND ANYTHING STATED OR POSTED ON THE PLATFORM ARE NOT INTENDED TO DIAGNOSE, TREAT, CURE, OR PREVENT ANY INJURIES, OR AS A SUBSTITUTE OR REPLACEMENT FOR MEDICAL ADVICE, DIAGNOSIS OR TREATMENT.

DO NOT DISREGARD, AVOID OR DELAY OBTAINING MEDICAL OR HEALTH RELATED ADVICE FROM YOUR HEALTHCARE PROFESSIONAL BECAUSE OF ANY INFORMATION MADE AVAILABLE OR HEARD ON THE WEBSITE OR THROUGH THE SERVICES.

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

To the fullest extent permitted by applicable law, you agree to indemnify, defend and hold harmless Budi, and our Budi Parties from and against all actual or alleged third party claims, damages, awards, judgments, losses, liabilities, obligations, penalties, interest, fees, expenses and costs of every kind and nature whatsoever that are caused by, arise out of or are related to (a) any use or misuse of the Website, its products or Services, and Company Content by you, (b) your violation of these Terms, and (c) your violation of the rights of another.

NOTICE: PLEASE READ THIS SECTION CAREFULLY. IT LIMITS CERTAIN RIGHTS, INCLUDING YOUR RIGHTS TO TRY CLAIMS IN COURT BEFORE A JUDGE OR JURY AND THE RIGHT TO BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE CLAIM OR ACTION.

You agree that any dispute, claim or controversy arising out of or relating to these Terms will be settled by final and binding arbitration. This Arbitration Agreement is governed by the Federal Arbitration Act (9 U.S.C. §§ 1-16).

The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the AAA's Commercial Arbitration Rules, except as modified by this Arbitration Agreement.

The arbitration shall take place in Kent County, Delaware. If your claim does not exceed $10,000, the arbitration will be conducted solely on the basis of documents, unless you request a hearing.

The Arbitrator may award declaratory or injunctive relief only in favor of the claimant and only to the extent necessary to provide relief warranted by the claimant's individual claim.

All matters relating to the Website and/or Services and these Terms shall be governed by the laws of the State of Delaware applicable to agreements entered into and to be wholly performed therein.

We may update our Terms from time to time. If we make material changes to these Terms we will notify you by posting the new Terms on this page. We will let you know via email and/or a prominent notice on our Website, prior to the change becoming effective and update the "Last Modified" date at the top of these Terms.

You are responsible for ensuring we have an up-to-date active and deliverable email address for you, and for periodically visiting our Website and these Terms to check for any changes. Changes to these Terms are effective when they are posted on this page.
